Scenario before hiring TGG:
SIG was approached about a proposed business transaction. When SIG was approached with its initial offer, TGG was hired to analyze the value, terms, and conditions of the offer and provide a recommendation. After reviewing the offer TGG determined that the terms and conditions represented an unacceptable barrier to achieving the appropriate value for the company and thus recommended that SIG decline the offer. In its place, TGG structured an opportunity for Mr. Novak to purchase the company at an appropriate valuation that exceeded the offer on the table, and provided for a realistic exit for the current shareholders.
